Sponsorship terms

There is no cooling-off period. These are business contracts, not consumer purchases.

These terms are the contract for booking a paid placement on www.smeautomation.ai. They are between the business that books the placement and Sundowner Life Limited. An account and a prompt subscription follow the Terms of service, not this page.

Who we are

Sundowner Life Limited is a company in the United Kingdom. We run SME Automation. Our VAT number is GB 493152386. Email [email protected].

What you can book

Placements are offered when we accept a booking. Prices are on enquiry until a quote says otherwise. A slot is a fixed period, on a place we name:

An individual prompt page. That can be a one-liner, a recipe, or a combo.

Or the site banner, or the site footer.

The quote names the place and the dates. It does not cover any other page. Rank, and which tool a recipe uses, stay with the editor. A booking does not buy a change to a prompt.

What appears

A placement can show your logo, a short brief, and one link back to your site. The link uses rel="sponsored" and the visible label is "Sponsored". It must be readable as an advertisement. It must not look like our own editorial. The logo, the brief, and the link must meet the Sponsor content guidelines.

Approval and removal

We review submitted content within 2 working days. We can refuse or take down the logo, the brief, or the link if it does not meet the guidelines, or if it is misleading, unlawful, or off-topic for that page, or if it breaks these terms. You confirm that you have the rights to the logo, the trademarks, and the brief, that the brief is true, and that the page you link to is lawful.

If we reject the content before the slot starts, or take it down during the slot, there is no refund. You must change it so it meets the guidelines and send it again. We review the new version within 2 working days. The slot period keeps running. We do not pause it, and we do not extend the end date, while you fix the content or while we review it.

There is no refund and no credit for that rejection or removal. The same is true if we decline the booking, or if we remove the slot for our own reasons.

No automatic charge

A slot does not renew itself. We do not store a card in order to charge the next period, and we do not take a payment unless you have agreed that period in writing. Email is enough writing.

We email you 14 days before the slot ends, and again 3 days before it ends. The 14-day email opens a 7-day first refusal. For those 7 days we will not offer the following period, on that same place, to anyone else. You can take it first, at the fee we quote then. If you do not accept in those 7 days, we may offer the following period to someone else. Accepting is a new booking. Silence is not a booking, and it is not a charge.

Stats

We share the view count for your placement, by email or by a private read-only link. The count is not a list of visitors. You do not get a login. You do not see another sponsor's figures, or any person's account, email, or country.

Payment and VAT

The fee, the place, and the dates are confirmed by email before the slot is booked. Nothing is due until you accept that quote. You pay the agreed fee for that period before the slot goes live, unless the quote names a different due date. Payment can be at checkout. The payment covers that period only.

The quote states the VAT. Our VAT number is GB 493152386. A UK business is charged UK VAT, shown on the quote, unless the quote says the fee already includes it. For a business outside the UK, the quote states whether UK VAT is added, whether the supply is outside the scope of UK VAT, or whether a reverse charge applies. You remain responsible for any tax your own country puts on you.

Cancellation and refunds

There is no cooling-off period. A sponsor booking is a business contract. The consumer cooling-off right does not apply.

Once the booking is paid, including when it is paid at checkout, it cannot be cancelled. That is so whether or not the slot has started. There is no refund of the fee.

You may ask us to remove the sponsorship at any time. That means the banner, the logo, the brief, or the link. We take it down. Removing it does not cancel the booking. There is no refund for any remaining time, and the end date does not change.

We may refuse a booking, or suspend or remove a live slot, at our discretion. There is no refund and no credit in any circumstances, including when we remove a slot for our own reasons.

Your content

You will cover us against a claim, loss, or reasonable cost arising from your logo, your brief, or your link, including a claim that they are misleading, unlawful, or used without the rights you told us you had. This does not apply to the extent the loss was caused by our own fault. Nothing here makes you responsible for death or personal injury caused by our negligence, or for our fraud. These are business terms. The indemnity applies so far as the Unfair Contract Terms Act 1977 allows.

Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that the Unfair Contract Terms Act 1977 does not allow us to limit or exclude.

We do not promise a number of views, a number of clicks, or a sale. View counts are the figures our site records. A placement is provided as booked. We do not warrant a result from it.

Where the law allows, we are not liable for indirect or consequential loss, or for loss of profit, business, or goodwill.

Our total liability to you for claims in any 12-month period is limited to the fees you paid us under these terms in that period.

Changes, suspension, and non-payment

We can change prices, placement formats, and these terms for a booking you have not yet accepted. The date and the version at the top change when these terms change. A change does not alter a slot you have already booked, unless you agree or the law requires it. A new booking uses the terms on this page on the day you accept the quote. The quote is the notice of the fee and the place.

We can refuse a booking, or suspend or remove a live placement, at our discretion. That includes where the content breaks these terms, where the fee is not paid, and where we remove the slot for our own reasons. There is no refund and no credit.

Governing law

These terms are governed by the law of England and Wales. The courts of England and Wales hear a dispute.
